Start with who wrote the cheques
A first external financing usually answers a simple question: what will outsiders pay for a business they do not control? Here the arithmetic blurs that answer. Outside investors committed RMB 625 million. Li Auto itself agreed to subscribe RMB 1 billion, through a wholly owned subsidiary. Both parts are in the release, in the same sentence. The headline total adds them together, and most of the coverage that followed led with the total.
The split matters because the two parts are different kinds of money. The parent's subscription is not external capital — no outsider has underwritten it — but it is still new funding for MHX itself, cash the subsidiary did not have before. The outside RMB 625 million, from named venture investors, is evidence that outsiders were willing to sign financing agreements for a stake in the unit. That is a signal of willingness to commit, not completed validation: the agreements are signed, and the deal has not closed. A reader who only saw RMB 1.625 billion would overstate how much of this test the market, rather than the parent, has actually underwritten.
The valuation is a conditional, not a price
The RMB 17.1 billion post-money valuation circulating in coverage of this deal does not appear in Li Auto's release. Gasgoo reports it as an implied figure: if the Hangzhou Jingtao Additional Investor puts in the full additional RMB 500 million by December 31, 2026, at the same unit price, the implied post-money figure reaches that level. Even then, the additional right alone does not establish the figure — the full capital structure, including the incentive arrangements, matters to the calculation. Until the right is exercised, the valuation is a scenario.
The ownership percentages need the same care. The figures themselves come from Li Auto's own release: roughly 74.01% for Li Auto, 6.58% for the investors and 19.41% for incentive-plan entities. What is conditional is the scenario behind them — they assume both incentive plans are fully used and the extra right is fully exercised. They are the end state of two things that have not happened, not a flat retained stake today.
One more caution on the numbers: conversions of the RMB total into dollars vary across coverage, from roughly $224 million to roughly $243 million for the same RMB 1.625 billion. The RMB figures are the ones in the release. Treat any single dollar figure as an exchange-rate choice, not a fact from the company.
The chip itself is not the speculative part
What makes this financing different from a research-stage spin-out is that the product already ships. Per Gasgoo's October 16 report on the announcement, the Mach M100 uses a 5-nanometre automotive-grade process and a dynamic dataflow architecture, and Li Auto rates it at 1,280 TOPS per chip; those are company figures, not independent benchmarks, and TOPS ratings are not comparable across vendors without matching precision and conditions. An architecture paper accepted by the ISCA 2026 industry track at least puts the design in front of a technical audience. Gasgoo also reports the chip is already deployed in Li Auto's new-generation production vehicles — a reported deployment, which is not the same as independently demonstrated scale or reliability.
That cuts both ways. A chip in production vehicles needs capital for scale, external sales and the next generation, which is what the release says the money is for. The outside investors are backing a chip business with an existing relationship to Li Auto and a reported production-vehicle deployment. What the financing does not answer is how much of MHX's future revenue ever comes from anyone else.
The practical angle
Watch three dated markers. First, closing: the release says completion is subject to customary conditions, so the money is committed, not yet in. Second, December 31, 2026: the deadline for the Hangzhou Jingtao Additional Investor to exercise its one-time additional right. Exercising it would not by itself turn the conditional valuation into an actual one, because the fully-diluted scenario behind the figures also assumes full use of the incentive plans. Third, any named external customer for MHX chips or domain controllers: that, more than the round's size, would show the non-automotive and external-supply plans are becoming a business rather than a stated intention.
